GENERAL Terms and Conditions
HILTI APPROVED PARTNER SALES TERMS AND CONDITIONS
1. Acceptance of Terms
By placing an order with Electro Centre Limited, the customer agrees to be bound by the following Terms and Conditions of Sale. These terms shall apply to all sales unless otherwise agreed in writing.
2. Orders
• All orders are subject to acceptance by Electro Centre Limited.
• We reserve the right to refuse or cancel any order at our discretion.
• Once confirmed,orders cannot be cancelled or modified without our written consent.
3. Pricing
• All prices are listed in Ugandan Shillings (UGX) and are exclusive of shipping, and handling unless otherwise stated.
• We reserve the right to change prices at any time without prior notice.
4. Payment Terms
• Payment must be made in full prior to delivery unless agreed otherwise.
• Accepted payment methods: [e.g., Electronic Bank Transfer, Bank Deposits, Cash].
• Electronic Funds Transfers and Bank Deposits must reflect on our bank account before goods are released.
• Our sales staff is not authorized to release any goods on presentation of a mere proof of payment, such as by way of an Electronic Fund Transfer or Cash Deposit receipt. Goods may only be released after confirmation of the receipt of payment of the funds by our Finance Department or Management.
• Late payments may incur interest at 2.5% per month.
• To redeem a voucher the customer has to physically present the original voucher to the sales staff.
A redeemed voucher will be kept by Electro Centre Limited.
We do not take any responsibility for lost or stolen vouchers.
Vouchers cannot be redeemed for cash.
5. Shipping and Delivery
• Delivery dates are estimates only and are not guaranteed.
• We are not liable for delays caused by third-party carriers or force majeure events.
• Risk of loss or damage passes to the buyer upon delivery.
• Supply and delivery will only be effected after confirmed receipt funds.
6. Returns and Refunds
• Returns are accepted within 10 days of receipt, subject to inspection.
• A possible 15%handling fee may be raised at discretion Electro Centre Limited.
• Products must be returned unused, in original packaging, and in saleable condition.
• Refunds will be processed after returned goods are inspected and approved.
• An accepted return of unwanted goods will not be refunded in cash or by a credit into a debit/credit card. We will offer an exchange for other goods, a shop credit ora voucher instead.
• Goods truly orderered not returnable nor refundable.
• Return shipping costs are the responsibility of the buyer unless the return is due to ourerror.7. Warranties
• We warrant that goods will be free from material defects for a period of 12 months, unless otherwise indicated from the date of delivery.
• This warranty does not cover normal wear and tear, misuse, or damage caused by improper installation or handling.
• Our liability is limited to repair, replacement, or refund at our discretion.
8. Customer Liability
• Customer will beliable for damaging or destroying goods on display in any of our shops, on thebasis that these goods are considered sold to the customer.
• All customers enter an Electro Centre Limited outlet at their own risk.
9. Limitation of Liability
To the fullest extent permitted by law:
• We shall not be liable for indirect, incidental, or consequential damages.
• Our total liability for any claim arising out of or related to any product or service shall not exceed the purchase price paid by the buyer.
10. Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, labor disputes, acts of war, or government actions.
11. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Namibia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Windhoek.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Amendments
We reserve the right to modify these Terms at any time. Updates will be available upon request and will apply to all future transactions from date of modification.
14. Entire Agreement
These Terms and Conditions constitute the entire agreement between the parties and superes deal prior agreements, understandings, or representations.
No act, omission, course of dealing, forbearance, delay or indulgence by Electro Centre Limited.in enforcing any of these conditions shall affect or prejudice any of the rights of Electro Centre Limited, and no such matter shall be treated as any evidence of waiver of Electro Centre Limited ’s rights hereunder
